Merchant guidelines for Coinbase Managed Commerce application

In order to successfully and efficiently complete your application for Coinbase Commerce, please have the following information ready before you begin your application.

  • Your legal entity type, the exact legal entity name as registered, and (optional) the name you use to do business if it's different from the legal entity name

  • Street address where your business is conducted (PO boxes not accepted)

  • Incorporation information (date of incorporation, country, state, etc.)

  • Your business' industry type

  • Purpose of Account - Select 'Accepting Crypto Payments for Goods / Services'

  • Financial information such as monthly revenue, assets under management, source of funds, expected percentage of crypto payments, etc.

  • Other business-related questions

    • In order to understand your business and how it's operated, we ask about ownership, whether the company is publicly traded, where your payers are located, what products or services you provide, etc.

Depending on the answers you provide, you may be asked more specific, business-related questions.

A document that shows the ownership structure of this entity

• The heading of this document must state the exact legal entity name as it appears on the company formation documents

Shareholders/Members register

A document that states who the current beneficial owners of the company are including legal names (individuals and/or entities) and ownership percentage

• Legal entity name
• Details for each shareholder: full name, number of shares, nominal value per share

•The document should be on a company headed paper and signed by a person of control within the company (ex. CEO, President, etc.).

• Extracts from government registrars
• Certificate of Incumbency
• Articles or constitution of the legal entity

Directors register

A document that shows a record of active directors elected by the entity’s shareholders

• Legal entity name
• Incorporation details (country/state of incorporation and registration number or similar)
• The director's start date and position

Source of funds

A document that proves how this entity will initially fund this Coinbase account

• Bank, brokerage, or crypto statement dated within the last three months
• Capital commitment letter
• Subscription agreement
• Statement of Partner's capital or management attestation of assets and liabilities

Certificate of incorporation

A document that proves formation of this entity (typically issued by a local governmental agency)

• Provide this document in English, if possible

Articles/Memorandum of association

A document that includes controlling parties' powers or responsibilities and describes how significant decisions are made. A memorandum of association is a legal document in the formation and registration process. It typically outlines the shape of an entity.

Proof of operating address

A document that shows the entity's operating address

• The document must be on the letterhead of the service provider, show the legal entity name, and be dated within the last three months
